Terms & Conditions
Welcome to Rylod. These Terms and Conditions ("Terms") govern your access to and use of the Rylod mobile application, website, and all related services (collectively, the "Platform").
Please read these Terms carefully before using the Platform. By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.
These Terms are published in compliance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and other applicable Indian laws.
1. Acceptance of Terms
By downloading, installing, accessing, or using the Rylod mobile application, website, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms").
If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and Abitz Technologies Private Limited ("Rylod", "we", "our", "us"), a company incorporated under the Companies Act, 2013, with its registered office at 1st Floor, Raheja Arcade, Unit 131 & 132, Koramangala Industrial Layout, Koramangala, Bengaluru, Karnataka 560095.
2. Definitions
- "Platform" refers to the Rylod mobile application (Android and iOS), website (rylod.com), and all related services.
- "User" refers to any person who accesses or uses the Platform, including Passengers, Drivers (Rangers), Fleet Owners, and Vendors.
- "Passenger" or "Customer" refers to a User who books a ride or parcel delivery through the Platform.
- "Driver" or "Ranger" refers to an independent third-party service provider who offers transportation or delivery services through the Platform.
- "Fleet Owner" refers to an entity that manages multiple Drivers and/or vehicles on the Platform.
- "Services" refers to transportation, ride-hailing, and parcel delivery services facilitated through the Platform.
- "Booking" refers to a request made by a Passenger for transportation or delivery services.
- "Fare" refers to the price set by the Driver for a particular Booking.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years of age.
- Be legally capable of entering into a binding contract under the Indian Contract Act, 1872.
- Possess a valid mobile phone number for registration and verification.
- Not have been previously suspended or removed from the Platform.
4. Nature of Platform
Rylod is a technology platform that connects Passengers with Drivers. Rylod does not itself provide transportation or delivery services.
- Drivers are independent service providers, not employees or agents of Rylod.
- Rylod acts solely as an intermediary facilitating the connection between Passengers and Drivers.
- The contract for transportation services is between the Passenger and the Driver directly.
- Rylod does not guarantee the availability, quality, safety, or legality of services offered by Drivers.
- On Rylod, Drivers set their own fares and Passengers choose their preferred Driver and price. Rylod does not fix, mandate, or control fare pricing.
5. User Accounts
A. Registration
- You must create an account by providing accurate, current, and complete information.
- Registration requires OTP verification via your mobile number.
- You are responsible for maintaining the confidentiality of your account credentials.
- One account per User. Multiple accounts for the same person are prohibited.
B. Account Security
- You are responsible for all activities that occur under your account.
- You must immediately notify Rylod of any unauthorized use of your account.
- Rylod shall not be liable for any loss arising from unauthorized use of your account.
- Sharing your account or OTP with others is strictly prohibited.
6. Passenger Terms
A. Booking & Rides
- Passengers may book rides or parcel deliveries through the Platform by entering pickup and drop locations.
- On Rylod, Drivers submit their fare offers for a booking. The Platform also displays a distance-based fare estimate. Passengers review both and choose which Driver to accept.
- Once a Booking is confirmed, both the Passenger and Driver are expected to fulfil the trip.
- Passengers must be present at the pickup location at the scheduled time.
- Passengers must not ask Drivers to violate traffic laws or engage in unsafe driving.
B. Payment
- Payment may be made via cash, UPI, wallet, or other methods available on the Platform.
- For cash payments, the Passenger pays the Driver directly at the end of the trip.
- For digital payments, the amount is charged at the end of the trip through authorized payment gateways facilitated by Rylod.
- Passengers are liable to pay the agreed fare, any applicable tolls, parking charges, and fees.
- Rylod may charge a platform convenience fee on certain transactions.
7. Driver (Ranger) Terms
A. Eligibility & Onboarding
- Drivers must possess a valid driving licence appropriate for the vehicle type.
- Drivers must submit required documents: driving licence, vehicle registration certificate (RC), insurance, and permits as applicable.
- Drivers must pass verification checks before being activated on the Platform.
- Vehicles must meet Rylod's safety and quality standards and comply with local transport regulations.
B. Service Standards
- Drivers set their own fares for each booking request. The Platform also provides a distance-based fare estimate for reference. The fare is agreed upon before the trip begins and is not recalculated during or after the ride.
- Drivers must provide safe, professional, and courteous service to Passengers.
- Drivers must follow the optimal route unless directed otherwise by the Passenger.
- Drivers must maintain their vehicles in safe and clean condition.
- Drivers must comply with all applicable traffic laws and regulations.
- Drivers are independent contractors and not employees of Rylod.
C. Commission & Payments
- Rylod may charge a commission or platform fee on completed bookings.
- For cash trips, the Driver retains the cash fare and commission is adjusted in subsequent settlements.
- For digital payments, Rylod settles the Driver's earnings after deducting applicable commission and fees.
- Settlement cycles and payment terms are as specified in the Driver agreement.
D. Driver Credits
- Drivers may purchase credits ("Driver Credits") from Rylod to use Platform services and accept bookings.
- Driver Credits are non-refundable, non-transferable, and cannot be exchanged for cash under any circumstances.
- Once purchased, Driver Credits are final and no refund, reversal, or cancellation of the purchase will be entertained.
- Driver Credits may expire as per the terms specified at the time of purchase.
- Rylod reserves the right to modify the pricing and terms of Driver Credits with prior notice.
8. Cancellation Policy
A. Passenger Cancellation
- Passengers may cancel a Booking free of charge within the grace period (before the Driver starts moving towards the pickup location or as defined by the Platform).
- No cancellation fee applies if the Driver is significantly delayed beyond the estimated arrival time.
- If a Passenger cancels after the grace period, a cancellation penalty will be applied. The penalty amount is determined based on the vehicle type of the cancelled booking.
- The cancellation penalty is not charged immediately. It is collected from the Passenger's next completed trip on the Platform.
- The collected penalty amount is distributed as follows: 20% to the Driver who completes the next trip (collecting Driver), 60% to the Driver of the cancelled trip (affected Driver), and 20% to Rylod as a platform fee. This distribution ratio is subject to change at Rylod's discretion with prior notice.
- Repeated cancellations may result in temporary or permanent restriction of your account.
B. Driver Cancellation
- Drivers may cancel a Booking under legitimate circumstances such as safety concerns, vehicle breakdown, or incorrect booking details.
- If a Driver cancels a Booking without a valid reason, a cancellation penalty will be deducted from the Driver's Credits. The penalty amount is determined based on the vehicle type of the cancelled booking.
- Driver cancellation penalties are deducted immediately from the Driver's Credit balance and are non-refundable.
- Drivers must not cancel Bookings based on the Passenger's destination, gender, caste, religion, or any other discriminatory reason. Such cancellations will be treated as cancellations without valid reason and will attract penalties.
- Repeated or frequent cancellations by Drivers may affect their Platform rating and may result in temporary or permanent deactivation.
9. Refund Policy
Refunds may be issued in the following circumstances:
- Duplicate or erroneous charges by the Platform.
- Trip not completed but payment was deducted.
- Significant deviation from agreed fare without Passenger consent.
- Service quality issues verified by Rylod upon investigation.
10. Parcel Delivery Terms
- Parcels must not contain prohibited, illegal, hazardous, flammable, or restricted items.
- The Passenger (sender) is responsible for ensuring the parcel is properly packed and labelled.
- The sender chooses at the time of booking whether payment is to be collected at the pickup (source) or at the delivery (destination) from the recipient.
- If payment is set to be collected at the destination, the recipient is responsible for making the payment upon delivery. If the recipient refuses to pay, the sender will be liable for the fare.
- Rylod and Drivers are not liable for damage caused due to improper packaging.
- Rylod does not insure parcels unless explicitly stated. Users are advised to insure valuable items independently.
- Drivers may refuse to transport items that they reasonably believe are prohibited or dangerous.
- Maximum weight and size limits apply as specified on the Platform for each vehicle type.
11. Prohibited Conduct
Users shall not:
- Use the Platform for any unlawful, fraudulent, or unauthorized purpose.
- Impersonate any person or entity, or falsely represent your affiliation.
- Harass, abuse, threaten, or discriminate against any other User.
- Use the Platform to transport illegal substances, weapons, or prohibited items.
- Interfere with or disrupt the integrity or performance of the Platform.
- Attempt to access other Users' accounts or personal data without authorization.
- Use automated systems (bots, scrapers) to access or interact with the Platform.
- Manipulate fares, ratings, or booking systems.
- Share or misuse OTPs, promotional codes, or referral systems.
12. Ratings & Reviews
- After each trip, Passengers and Drivers may rate and review each other.
- Ratings and reviews must be honest, fair, and based on actual experience.
- Rylod reserves the right to remove reviews that are abusive, defamatory, fraudulent, or violate these Terms.
- Users with consistently low ratings may face account restrictions or deactivation.
13. Intellectual Property
All content, features, functionality, trademarks, logos, design elements, and software of the Platform are the exclusive property of Abitz Technologies Private Limited and are protected under applicable intellectual property laws.
- You may not copy, modify, distribute, sell, or lease any part of the Platform without written consent.
- You may not reverse-engineer or attempt to extract the source code of the Platform.
- The "Rylod" name, logo, and "Ranger" branding are registered trademarks of Abitz Technologies Private Limited.
- User-generated content (reviews, feedback) grants Rylod a non-exclusive, royalty-free licence to use such content for Platform operations.
14. Limitation of Liability
To the fullest extent permitted by applicable law:
- Rylod shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Rylod is not responsible for any loss, damage, injury, or death arising from transportation services provided by Drivers.
- Rylod's total aggregate liability for any claim shall not exceed the amount paid by you to Rylod in the preceding 3 months.
- Rylod does not guarantee uninterrupted, error-free, or secure access to the Platform.
- Rylod is not liable for delays, failures, or interruptions caused by force majeure events (natural disasters, pandemics, government actions, network failures).
15. Indemnification
You agree to indemnify, defend, and hold harmless Abitz Technologies Private Limited, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use or misuse of the Platform.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your violation of any rights of a third party.
- Any content you submit or transmit through the Platform.
16. Account Suspension & Termination
- Rylod reserves the right to suspend or terminate your account at any time, with or without prior notice, for violation of these Terms.
- Grounds for suspension include: fraudulent activity, safety violations, repeated cancellations, low ratings, abusive behaviour, and non-compliance with applicable laws.
- Upon termination, your right to use the Platform ceases immediately.
- Outstanding payments or dues owed to Rylod remain payable after termination.
- You may request account deletion by contacting support. Account deletion is subject to clearance of outstanding obligations.
17. Dispute Resolution
A. Between Users
- Disputes between Passengers and Drivers (regarding fares, service quality, behaviour) should first be reported through in-app support.
- Rylod will investigate and mediate disputes in good faith, but the final resolution may require mutual agreement between the parties.
- Rylod's decision on platform-related disputes (refunds, cancellation fees) shall be final and binding.
B. Between User and Rylod
- Any dispute arising out of or in connection with these Terms shall be referred to and resolved by arbitration under the Arbitration and Conciliation Act, 1996.
- The arbitration shall be conducted by a sole arbitrator appointed by Rylod.
- The seat and venue of arbitration shall be Bengaluru, Karnataka, India.
- The language of arbitration shall be English.
- The arbitration award shall be final and binding on both parties.
18. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
Subject to the arbitration clause above, the courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising from these Terms.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy, Refund & Cancellation Policy, and any other policies referenced herein, constitute the entire agreement between you and Rylod regarding the use of the Platform.
These Terms supersede any prior agreements, communications, or understandings between you and Rylod regarding the subject matter herein.
21. Modifications to Terms
Rylod reserves the right to modify these Terms at any time.
Material changes will be communicated through in-app notifications and/or email.
Continued use of the Platform after modifications constitutes acceptance of the updated Terms.
If you do not agree with the modifications, you must discontinue use of the Platform and delete your account.
